3. Orders

All orders are subject to acceptance by SHREYASKM PRIVATE LIMITED.

5. Payment Terms

7. Inspection and Acceptance

Before dispatch, SHREYASS VEGAN LEATHER shall provide the customer with photographs and/or
videos of the finished products, including the quantity, specifications, packaging, and overall condition of
the goods, for confirmation. These photographs and videos shall serve as evidence of the condition and
quantity of the goods at the time of dispatch.
Once the customer confirms the dispatch or the goods are dispatched as agreed, the risk of loss or damage
during transit shall pass to the customer or the designated carrier. SHREYASS VEGAN LEATHER shall
not be liable for any damage, shortage, tampering, or loss occurring after dispatch, except where such
issues are proven to have existed prior to dispatch or arise from a manufacturing defect.

8. Returns and Replacements

Returns and replacements shall be governed by our Return & Exchange Policy.
Custom-made, cut-to-size, customized and made-to-order products are generally non-returnable unless
approved by the Company.

9. Intellectual Property

All intellectual property rights including but not limited to:

● Trademarks
● Logos

● Technical know-how

● Documents
remain the exclusive property of SHREYASKM PRIVATE LIMITED unless otherwise agreed in writing.

10. Samples

Product samples are supplied solely for evaluation purposes.
Samples shall not:
● be reverse engineered,
● chemically analysed for commercial replication,
● copied,
● reproduced,
● commercially manufactured,
● distributed to third parties without prior written consent.

11. Warranty Disclaimer

Unless expressly agreed in writing, SHREYASS VEGAN LEATHER does not provide any express or
implied warranty regarding the products supplied, including but not limited to warranties of
merchantability, fitness for a particular purpose, durability, or suitability for any specific application.
Customers are responsible for evaluating the product’s suitability for their intended use before commercial
application.

12. Limitation of Liability

To the maximum extent permitted by law, SHREYASKM PRIVATE LIMITED shall not be liable for:
● indirect damages,

● loss of profits,
● business interruption,
● loss of goodwill,
● incidental damages arising from the use of our products or services.
Our total liability shall not exceed the value of the products supplied under the relevant order.
